On August 6, ChronoScale and Microsoft announced a two-year strategic partnership designed to support a planned deployment of approximately 50 megawatts of AI compute capacity. The company disclosed the agreement in its annual report filed Wednesday, which also reported fiscal 2026 revenue of $71.6 million, a 15% decline from the prior year.

The proposed project will pair NVIDIA GB300 systems with advanced liquid cooling technology to support high-density AI and accelerated-compute workloads. ChronoScale targets completion of the deployment in the first quarter of 2027, contingent upon meeting financing, development, construction, and operating milestones.

The filing did not disclose the project’s location, required capital investment, pricing structure, or expected revenue. It also failed to classify the agreement as a take-or-pay contract or confirm that Microsoft has committed to purchasing the full 50 MW of planned capacity. However, the agreement stipulates that Microsoft is entitled to penalties and other credits should ChronoScale fail to satisfy applicable conditions or milestones. The company cautioned that it cannot guarantee investors access to financing on favorable terms or the ability to meet all project requirements.

As of May 31, ChronoScale held $9.7 million in cash against a $42.6 million working-capital deficit. Historically reliant on parent company Applied Digital (NASDAQ: APLD) for operating funding due to recurring losses, the operator signed a demand promissory note with Applied Digital in June. This facility provides up to $100 million in principal advances, subject to reductions for guaranteed liabilities and lender-determined reserves. ChronoScale drew $7 million on July 1, leaving $93 million available, though the filing did not specify whether these funds would finance the Microsoft-backed deployment.

Despite the revenue drop, ChronoScale’s fiscal 2026 operating loss narrowed to $37.5 million from $55.3 million, while the net loss from continuing operations improved to $49.3 million from $72.7 million. Management attributed the revenue contraction primarily to the loss of a customer in December 2024.

ChronoScale’s cloud infrastructure currently operates through third-party colocation facilities in Colorado, Minnesota, and Utah. Looking ahead, the company plans to divest its Ekso Bionics division during fiscal 2027 to concentrate exclusively on cloud services tailored for AI and machine-learning clients.
