Amazon is offering senior unsecured debt notes in four series totaling approximately $4.25 billion in gross proceeds. The 2029 notes total $1.25 billion at 5.200% per annum, the 2032 notes total $1 billion at 5.550% per annum, the 2038 notes total $1 billion at 6.250% per annum, and the 2045 notes total $1 billion at 6.650% per annum. These interest rates reflect increasing yield compensation for longer maturity terms.
Interest on all notes will be paid semi-annually on March 14 and September 14 of each year, with the first payment scheduled for March 14, 2027. The notes will mature on their respective dates: September 14, 2029, 2032, 2038, and 2045. Amazon retains the right to redeem any series at any time at specified redemption prices, and may redeem any series in whole (but not in part) if certain changes to tax law would require Amazon to pay additional amounts to investors.
The notes rank equally with Amazon's other senior unsecured indebtedness and carry no sinking fund obligation. Underwriting discounts and commissions range from 0.100% per note on the 2029 series to 0.300% on the 2045 series, totaling $7.65 million across all tranches. Amazon's net proceeds after underwriting discounts are approximately $4.235 billion.
Delivery of the notes is expected on or about September 14, 2026, in book-entry form through Clearstream and Euroclear clearing systems. Settlement will occur on a T+3 basis initially. Amazon intends to list each series on the Nasdaq Bond Exchange, with trading expected to begin within 30 days of issuance, though no obligation to maintain listing exists.
The offering is led by a syndicate of major financial institutions, including joint book-running managers Barclays, HSBC, J.P. Morgan, NatWest, Citigroup, BofA Securities, Wells Fargo Securities, Deutsche Bank, BNP Paribas, Goldman Sachs, Morgan Stanley, RBC Capital Markets, Scotiabank, Société Générale, and TD Securities, along with numerous co-managing banks.
