Simply Wall Street asks whether new data center leases change the bull case for Cipher Digital (CIFR).
Cipher Digital Inc. has completed a US$850 million Rule 144A zero coupon convertible note offering due November 1, 2032. The notes are senior, unsecured and callable. The zero coupon, convertible structure gives Cipher Digital funding flexibility as it pivots from bitcoin mining into long-term leased data center campuses.
To own Cipher Digital, you need to believe the pivot from bitcoin mining to long-term data center leasing will turn its large power pipeline and hyperscale contracts into steady rent. The key near-term swing factor is execution at Barber Lake, Black Pearl and Stingray, where on-time energization determines when those leases translate into cash.
At the same time, the biggest current risk sits on the balance sheet. The business already carries more than US$6b of debt and has less than one year of cash runway, so any delay, cost overrun or tougher credit conditions could pressure both liquidity and project-level returns.
The new US$850m zero coupon convertible due 2032 is central to that picture. It gives Cipher Digital additional funding capacity just as rent from its three long-term campus leases, forecast at about US$793m of average annualized NOI over the next decade, begins to show up from October 2026.
This extra capital comes with real trade-offs. Investors need to weigh higher leverage, future conversion-related dilution and already large interest and principal commitments against the Q3 2026 earnings catalyst, when Black Pearl rent first appears in reported results.
Cipher Digital's narrative projects US$1.5b of revenue and US$108.7m of earnings by 2029. This implies forecast revenue growth of 96.7% per year and a swing in earnings of roughly US$1.2b, from a loss of US$1.1b today to the 2029 consensus figure.
Some of the lowest Cipher Digital forecasts lean hard into refinancing risk. Those analysts focus on the chance that more equity-linked funding could keep earnings per share under pressure, even if rent grows. Before this zero coupon deal, they were modeling only about US$919.7m of 2029 revenue and US$110.7m of earnings. That is a very different story from consensus, and it shows how far views can diverge.
