Vertiv Holdings is positioning itself at the forefront of AI data center development by announcing the acquisition of Utility Innovation Holdings, operator of the Utility Innovation Group (UIG), for an enterprise value of roughly $1.45 billion. The transaction is expected to close in the fourth quarter of 2026. That figure, however, represents only the base price. Sellers can earn up to an additional $1.15 billion in cash earnouts tied to EBITDA performance targets, bringing the total potential payout to approximately $2.6 billion. For a company founded just six years ago, such a valuation underscores how critical on-site power solutions have become in the age of AI infrastructure.
Headquartered in Raleigh, North Carolina, UIG specializes in infrastructure designed for scenarios where grid expansion cannot keep pace with rapid power demands. The company builds microgrid controls, on-site generation systems, energy storage orchestration platforms, and microgrid-specific switchgear. It also brings proprietary controls software to the table. UIG maintains existing energy sector partnerships, including collaborations with Volvo Penta on battery energy storage and microgrid solutions, and operates across both the United States and Europe—two of the world’s most active data center construction markets.
At the $1.45 billion entry point, the transaction values UIG at roughly 13 times its anticipated EBITDA for 2027. Vertiv expects the acquisition to be accretive to its adjusted earnings per share in the first full year after closing.
For Vertiv (NYSE: VRT), the move aligns with a broader consolidation strategy. Throughout 2025 and 2026, the company has executed multiple strategic bolt-on deals to steadily expand its converged infrastructure capabilities. Originally spun out of Emerson’s Network Power business, Vertiv went public via a SPAC merger in 2020. Its existing portfolio already covers thermal management, power distribution, and IT infrastructure products. Integrating UIG’s microgrid and grid interconnection capabilities allows Vertiv to offer customers a more complete stack, spanning from the point where electricity enters a facility all the way through to the rack level.
The earnout structure introduces a clear metric to track over the coming years. Should UIG hit its targets and Vertiv end up paying the full $2.6 billion, the deal will validate the thesis that microgrid solutions for AI data centers represent a multi-billion-dollar market opportunity.
