Qualcomm and Amazon have announced a multigenerational agreement for customized AI-inference silicon and high-speed optical networking to power Amazon Web Services infrastructure. The partnership marks a significant entry for Qualcomm into the data-center market beyond its traditional mobile-chip business.

The widely reported $4 billion figure reflects the warrant arrangement rather than the direct supply value. According to Qualcomm's SEC filing, Amazon received warrants to acquire up to 25 million Qualcomm shares at $161.26 each—representing approximately $4.03 billion in exercise value. The warrant vesting is tied to specific commercial arrangements, binding purchase orders, and actual acquisitions of Qualcomm server-chip products, technology, systems, and manufacturing services, with milestones extending to as much as $60 billion in total payments over the warrant term. The filing notes that 3.75 million warrant shares vested at issuance based on initial purchase commitments, though the dollar value of those commitments remains undisclosed. The remaining warrants will vest as additional commercial and purchasing milestones are met. Reuters reported that the arrangement spans roughly a decade.

The technology agreement encompasses both computation and network infrastructure. Qualcomm will develop customized silicon for AI inference alongside optical-connectivity systems capable of speeds up to 1.6 terabits per second, leveraging Qualcomm SerDes and optical DSP technology. Qualcomm will also expand its use of AWS infrastructure and Amazon Bedrock for electronic-design-automation workloads.

The optical component underscores the widening infrastructure competition around AI data centers. As inference scaling accelerates, demand grows not only for accelerators but also for high-bandwidth links connecting processors, memory, and racks. Qualcomm reinforced this capability through its approximately $2.4 billion acquisition of Alphawave Semi, announced in 2025 as part of its data-center expansion strategy.

For AWS, the partnership diversifies its custom infrastructure supply chain beyond adding another GPU supplier. For Qualcomm, it brings a major hyperscaler into its bid to compete in AI inference, where power efficiency and system-level economics rival raw processing performance in importance. Although Nvidia remains the dominant incumbent, cloud operators' growing adoption of custom silicon and proprietary interconnect architectures is creating opportunities for alternative chip and networking suppliers.

Qualcomm's announcement and SEC filing do not specify the number of AWS data centers involved, deployment locations, electrical capacity, or resulting power demand—figures that will ultimately determine how much of the agreement translates into new infrastructure versus replacement or diversification of existing supply.
