Vertiv, a global leader in critical digital infrastructure, has completed its acquisition of Utility Innovation Holdings, Inc., which operates as UtilityInnovation Group (UIG), for approximately $1.45 billion in upfront cash. The acquisition expands Vertiv's capabilities in power management and infrastructure for data centers facing growing electricity supply constraints.

The transaction, completed on October 27, 2026, includes additional contingent cash payments of up to $1.15 billion. These payments are subject to UIG achieving specified earnings before interest, taxes, depreciation and amortization (EBITDA) targets over 12- and 24-month periods.

At the upfront purchase price, the acquisition values UIG at approximately 13 times its expected 2027 EBITDA. Vertiv expects the multiple to be significantly lower if the full contingent consideration is paid. The company anticipates the acquisition will be accretive to adjusted earnings per share during the first year following completion.

UIG specializes in microgrid solutions, advanced power controls and behind-the-meter power architecture for data centers. Its capabilities include microgrid controls, coordination of onsite power generation and energy storage, microgrid-specific switchgear, and power architecture designed to operate behind the utility meter.

The acquisition extends Vertiv's portfolio upstream to the utility grid interconnection, complementing its existing power and cooling infrastructure solutions. The combined offering is designed to help data center operators secure electricity more quickly as grid constraints increasingly affect the deployment of AI infrastructure.

Giordano Albertazzi, CEO of Vertiv, said access to power has become a critical competitive advantage as AI data center operators seek to accelerate deployment amid growing electricity constraints. He said integrating UIG would extend Vertiv's capabilities to utility interconnections and onsite power sources, enabling the company to provide coordinated solutions from behind-the-meter generation to the chip without tying customers to a specific power generation technology or supplier.

The combined capabilities are expected to give data center operators greater flexibility in sourcing, managing and expanding power capacity as infrastructure requirements evolve. The offering is designed to accelerate access to electricity by reducing or eliminating dependence on utility interconnection timelines, support behind-the-meter capacity beyond what the grid can provide alone, and establish a single point of accountability spanning grid interconnection through rack-level infrastructure.

Sidney Hinton, Founder and CEO of UIG, said joining Vertiv would enable the company to extend its microgrid and behind-the-meter power expertise to a broader global customer base, supporting faster deployment of the critical infrastructure required to accommodate AI growth.

J.P. Morgan Securities LLC acted as financial advisor to Vertiv, while Buchanan Ingersoll & Rooney PC served as its legal counsel. Morgan Stanley & Co. LLC advised UIG on the transaction, with Davis Polk & Wardwell LLP serving as its legal counsel.
