Nocera, Inc. announced on July 29, 2026 that it has acquired a thirty percent controlling interest in QMAX Technology Co., Ltd., a Taiwan-based memory and storage solutions company and authorized distributor of Micron and Crucial products. The acquisition was structured through a Variable Interest Entity, with Nocera issuing 300,000 shares of restricted common stock valued at $1.36 per share, based on the closing price on July 27, 2026, for an aggregate purchase price of $408,000. No cash was paid. The deal became effective on July 28, 2026.

Through QMAX, Nocera secures authorized sales qualifications and distribution channels for DDR5 modules, ECC server memory and enterprise SSDs. QMAX has established upstream supply relationships and downstream customers across Taiwan's technology sector. The company achieved approximately $1.36 million in revenue in fiscal 2025, with nearly tenfold growth between fiscal 2023 and 2025 and expanding export sales.

The acquisition reflects Nocera's strategic focus on AI infrastructure. Memory and storage have become critical bottlenecks in global AI expansion, as demand from AI servers and hyperscale data centers has absorbed substantial global DRAM and NAND capacity. Nocera CEO Andy Jin stated: "AI cannot scale without compute, and compute cannot scale without memory. Securing qualified access to memory and storage supply is a foundational step in our AI infrastructure strategy." He added that QMAX brings established sales qualifications, channel relationships, and a team with deep roots in Taiwan's memory industry, positioning Nocera to participate across multiple layers of the AI infrastructure value chain.

IDC forecasts global AI infrastructure spending will surpass $1 trillion in 2029, reaching approximately $1.08 trillion, reinforcing the strategic importance of secured component supply. QMAX founder Stanley Tseng noted that demand for server memory from AI applications is unprecedented and that joining Nocera enables the company to scale from a Taiwan channel business into a supply-chain partner for AI data center build-out across Asia and beyond.
