Cipher Digital's Q3 2026 results show its Barber Lake HPC lease deal reaching $9.1 billion, with first HPC lease income arriving in the quarter as it shifts from bitcoin mining toward AI data center operations.

A $9.1 billion lease confirms that a former miner can secure large AI capacity contracts, which signals ongoing demand for converted power-rich sites and adds to the contracted-capacity pipeline in the sector.

Cipher Digital Inc. (NASDAQ: CIFR) reported third-quarter 2026 revenue of $27 million and negative $10 million in Adjusted EBITDA. During the period, the company recognized its first high-performance computing (HPC) lease revenue and expanded its Barber Lake lease to a 20-year term, lifting total contracted revenue at the site to approximately $9.1 billion.

The results, announced November 2, 2026, cover the quarter ended September 30. They mark a key transition for the company as it shifts from a bitcoin-mining business toward an HPC data center development platform.

**Revenue Mix Shifts Toward HPC**

Total third-quarter revenue was $26.7 million, compared with $71.7 million in the prior-year quarter. The decline reflects the wind-down of bitcoin mining revenue, which fell to $20.8 million from $71.7 million a year earlier. This was partly offset by $5.85 million of initial HPC leasing revenue, for which there was no comparable prior-year figure.

On a sequential basis, revenue rose from $24.8 million in the second quarter of 2026 to $26.7 million in the third quarter, as HPC leasing revenue began contributing to the top line.

Adjusted EBITDA was negative $10.0 million, compared with positive $40.8 million in the third quarter of 2025 and negative $30.0 million in the second quarter of 2026. Beginning with the first quarter of 2026, the company changed its primary non-GAAP performance measure from Adjusted Earnings (Loss) to Adjusted EBITDA.

**Barber Lake Lease Expansion**

The company highlighted a previously announced amendment to the Barber Lake lease that adds a second 10-year term directly with a leading AI lab. The amendment adds approximately $5.2 billion of incremental rent, bringing total contracted revenue at the site to about $9.1 billion. It also establishes a phased delivery schedule aligned with the tenant's compute deployment.

Across its contracted portfolio, Cipher reported $16.6 billion in contracted revenue over base lease terms and $28.4 billion including extensions. The portfolio is supported by 700 MW of contracted gross HPC capacity and a weighted average lease term of 17.3 years. It includes Black Pearl (300 MW), Barber Lake (300 MW) and Stingray (100 MW).

Management said construction at Barber Lake remains on track to meet the amended schedule.

**Financing and Capital Actions**

Cipher completed an $850 million offering of 0.000% convertible senior notes due 2032, which funded an additional equity investment in Barber Lake in connection with the lease expansion. Associated capped call transactions raise the effective conversion price to $28.35 per share.

The company also exchanged approximately $165.9 million of its 1.750% convertible notes due 2030 for equity, retiring more than 90% of those notes.

**Power Pipeline Progress**

In ERCOT's Batch Zero process, the company received a conditional base load classification for 1 GW at its Colchis site. It also received conditional studied load classifications, with Provisional Controllable Load Resource designations, for an additional 1.6 GW.

Cipher also began developing lateral natural gas pipelines capable of supporting up to 2.5 GW of on-site generation. It acquired Horizon, a 70 MW site in Texas expected to energize in 2029. Its development pipeline totals approximately 5.9 GW.

**Why It Matters to Shareholders**

The first HPC lease revenue is an important proof point for Cipher's pivot toward long-duration data center contracts with hyperscale and AI tenants, which could provide more durable cash flows than bitcoin mining. The expanded Barber Lake lease materially increases contracted revenue visibility and extends lease duration.

**Risks and Considerations**

- Negative Adjusted EBITDA of $10 million shows the business is not yet generating positive adjusted operating profitability.

- Revenue fell sharply year over year as bitcoin mining revenue declined.

- Contracted revenue and NOI figures are forward-looking and depend on construction timelines and tenant performance.

- The company cited risks including the ability to complete data centers on time and within cost estimates, the availability of capital and financing on acceptable terms, and changes in market demand.
