Lattice Semiconductor has completed its acquisition of AMI, combining low-power programmable FPGA technology with platform firmware and infrastructure management software to create a comprehensive hardware and firmware platform for AI data centers and cloud infrastructure.

Originally announced in May, the acquisition is expected to be accretive to gross margin, free cash flow, and non-GAAP earnings per share while supporting Lattice's goal of achieving an annual revenue run rate of $1 billion or more by the end of 2026. Financial terms were not disclosed.

The combination expands Lattice's presence in AI infrastructure by integrating its low-power field-programmable gate array (FPGA) technology with AMI's platform firmware and infrastructure manageability software. Together, the businesses will provide hardware and firmware solutions for hyperscale cloud providers, original equipment manufacturers (OEMs), original design manufacturers (ODMs), and emerging AI cloud providers seeking to improve security, power efficiency, and system management across increasingly complex computing environments.

A key element of the transaction is Lattice's commitment to maintaining AMI's longstanding silicon-neutral business model. AMI will continue operating as AMI, a Lattice Company, with its existing leadership team and product portfolio remaining intact. Longtime AMI Chief Executive Officer Sanjoy Maity will lead the business unit and report directly to Tamer.

AMI will continue developing firmware and infrastructure management software that supports processors and platforms from a broad range of semiconductor vendors, rather than prioritizing Lattice technologies. "AMI has spent decades building significant firmware and manageability IP, deep domain expertise, and trust with the world's leading cloud and AI infrastructure providers," said Maity. "Joining Lattice gives us the expanded resources and platform to extend that leadership further, faster, while preserving the silicon-neutral approach that our customers value."

The acquisition significantly expands Lattice's addressable market by moving beyond programmable logic devices into firmware, system management, and infrastructure software. AMI's technologies are widely used to manage server hardware, monitor system health, provide remote administration, and secure computing platforms across cloud data centers, enterprise servers, edge infrastructure, and AI computing environments.

The combined platform addresses growing demand for integrated infrastructure management as AI workloads increase power consumption, hardware complexity, and cybersecurity requirements. By combining programmable hardware with firmware-level control and management capabilities, Lattice aims to offer customers a more comprehensive platform for managing next-generation AI and cloud infrastructure.

The transaction positions Lattice to participate more deeply in the rapidly expanding AI infrastructure market, where hyperscale cloud operators and enterprise customers are investing heavily in technologies that improve server efficiency, reliability, and security.

Lattice expects to provide additional financial details regarding AMI's contribution and future operating performance when it reports second-quarter 2026 results on August 4.

The acquisition reflects broader consolidation across the semiconductor industry as chipmakers expand beyond silicon into software and infrastructure management platforms. As AI data centers become larger and more complex, integrated hardware and firmware solutions are increasingly viewed as critical to improving operational efficiency, security, and system reliability, creating new growth opportunities for suppliers serving cloud and enterprise infrastructure markets.
