Oracle announced a $20 billion combined stock and bond offering to fund its AI infrastructure expansion.
Oracle (NYSE:ORCL) has announced plans to raise $20 billion through a combination of equity and debt offerings as the enterprise software company seeks additional funding for its expanding artificial intelligence and cloud computing infrastructure. The announcement triggered a sharp decline in its shares, reflecting investor concerns about rising capital requirements, borrowing levels and potential shareholder dilution.
**Oracle Prices Equity Offering at Discount to Market**
Oracle priced an offering of 86.2 million shares at $116 each, representing an 11.2% discount to Friday's closing price. The sale is expected to generate approximately $10 billion before offering expenses. Bloomberg News first reported the pricing details.
The decision to issue additional shares comes as Oracle faces substantial funding requirements tied to its AI infrastructure investments. While the offering provides new capital without increasing debt, it also expands the company's share count, potentially diluting existing shareholders.
Oracle's stock fell 8.8% to $119.22 during Monday's trading session. The decline brought the company's year-to-date share price losses to approximately 39%, highlighting the market's concerns about the financial demands of its expansion strategy.
**$10 Billion Bond Sale Adds to Financing Program**
Alongside the equity offering, Oracle is raising approximately $10 billion through the sale of bonds. The debt offering consists of five fixed-rate tranches with maturities ranging from 2029 to 2046. Interest rates on the securities range from 7% to 8.65%, reflecting the financing costs associated with Oracle's borrowing requirements.
The final offering did not include the floating-rate tranche that had appeared in an earlier regulatory filing.
The announcement also affected Oracle's existing debt. According to Tradeweb data, the company's 6.85% bonds maturing in 2066 declined by more than 1.2 cents on the dollar.
