(b) On November 4, 2026, Emma N. Walmsley, a member of the Board of Directors of Microsoft Corporation (the “Company”) since 2019, informed the Company of her decision not to stand for re-election at the Company’s 2026 annual shareholder meeting (the “Annual Meeting”). Ms. Walmsley will continue to serve as a director until the Annual Meeting. Her decision not to stand for re-election is not as a result of any disagreement with management on any matter relating to the Company’s operations, policies, or practices.
