MARA Holdings (Nasdaq: MARA) has received authorization from the Federal Energy Regulatory Commission (FERC) for its proposed acquisition of Long Ridge Energy & Power from FTAI Infrastructure, clearing a key regulatory hurdle in its strategy to expand into artificial intelligence and high-performance computing infrastructure.

FERC determined that the transaction is consistent with the public interest, satisfying an important condition for closing the acquisition. MARA expects to complete the transaction in the coming weeks.

The acquisition will add a 505-megawatt combined-cycle natural gas power plant and more than 1,600 contiguous acres of land with access to electricity, water, fiber and rail infrastructure.

Long Ridge Energy is currently authorized to sell 485 megawatts of electricity. Authorization is expected to increase to the facility's full 505-megawatt nameplate capacity during the first half of 2027.

Upon completion, the acquisition is expected to increase MARA's owned power generation capacity by more than 300% while providing contracted revenue from electricity generation.

"FERC authorization represents an important milestone toward completing our acquisition of Long Ridge Energy," said Fred Thiel, chairman and CEO of MARA.

"FERC's finding that the transaction is consistent with the public interest aligns with our commitment to continue serving the PJM grid while responsibly developing the site's significant potential."

The transaction will combine Long Ridge Energy's generation assets with MARA's existing operations at the location, creating a site with more than 1 gigawatt of total potential capacity.

MARA plans to use the expanded infrastructure to support future AI, cloud computing and high-performance computing operations as it diversifies beyond its traditional Bitcoin mining business.

The company said it does not expect to reduce Long Ridge Energy's existing electricity supply to the PJM grid or adversely affect consumers. Additional computing demand at the site, including potential behind-the-meter operations, is expected to be supported by new generation capacity developed over time rather than by diverting electricity currently supplied to the grid.

The acquisition reflects MARA's broader strategy of controlling power generation, land and computing infrastructure to support energy-intensive digital operations. MARA currently operates approximately 1.9 gigawatts of energized capacity across nearly 20 sites on four continents and has identified a development path toward approximately 4.8 gigawatts.

The company continues to use Bitcoin mining as an operational foundation while pursuing opportunities to develop infrastructure for AI, high-performance computing and enterprise customers.

With federal regulatory authorization secured, MARA is moving closer to integrating Long Ridge Energy into its portfolio and establishing a larger power-backed digital infrastructure campus.
