NVIDIA has disclosed a $105 billion liability cap for its 4.25 GW Ohio data center project.
NVIDIA Corporation disclosed in its Form 10-Q for the period ended July 26, 2026, that it has executed a residual value guaranty agreement for a large-scale infrastructure development in Piketon, Ohio. Management confirmed the effectiveness of disclosure controls and procedures as of that same date. The project entails constructing data center facilities with an aggregate critical IT load capacity of 4.25 GW across the primary premises and associated sites. Under the terms outlined in Exhibit 10.1 of the filing, NVIDIA acts as guarantor for a tenant whose identity remains redacted in the public document.
The agreement establishes a strict financial boundary, capping NVIDIA’s aggregate liability across this guaranty and all related project guaranties at $105 billion. The Guaranteed Minimum Value (GMV) encompasses costs tied to data center construction, power procurement, and transmission infrastructure. Contractual provisions also define a "Covered Loss Amount" and specify a discount rate for calculations governing the landlord’s equity position and internal rate of return.
Execution of the project requires substantial upgrades to the regional transmission network. A designated "Power Affiliate" will formalize a commitment with the grid operator, referred to as "GridCo," to guarantee completion of these enhancements. These grid improvements are essential to enable the delivery of retail electricity supply and related products stipulated under the project’s power purchase agreements (PPAs). The guaranty itself is intrinsically linked to the underlying lease, PPA, and transmission agreement required to secure reliable power delivery to the site.
