HENDERSON, Nevada, August 23, 2026, 12:34 PDT – CleanSpark (NASDAQ: CLSK) disclosed a $6.6 billion artificial intelligence lease equivalent to 214% of its market capitalization, yet shares declined even as Bitcoin advanced.

On Friday, CleanSpark stock fell 4.9% to $11.98, while Bitcoin rose 7.3%, creating a 12.2-point divergence that signals investors may no longer view the stock as a direct proxy for Bitcoin. The shift stems from CleanSpark’s revaluation as a data-center developer. Its largest contract will not begin generating revenue until the fourth quarter of 2027, making the timing gap between announcement and cash flow a critical factor. Consequently, the $6.6 billion face value of the lease stands in stark contrast to the company’s current equity valuation.

Over the full week, Bitcoin closed roughly 24.5% higher, whereas CleanSpark declined 0.9% compared to the previous Friday. This divergence followed a broader crypto rally fueled by policy developments, including Treasury bond repurchases and renewed legislative support for market-structure reforms.

The Sandersville agreement spans 20 years with a face value of $6.6 billion and includes two optional extensions that could push the total contract value to $11.6 billion. CleanSpark projects average annual net operating income of nearly $330 million during the initial term, with deliveries providing 175 megawatts of critical IT load.

The apparent discount relative to the contract’s face value is explained by the underlying development costs. Based on management’s estimate of $10 million to $12 million per megawatt, total project costs are projected between $1.75 billion and $2.10 billion. The company states that its expected equity commitment is fully covered, though shareholder returns will remain closely tied to project debt levels and construction milestones.

The firm’s current operating base offers limited margin for error. Third-quarter fiscal revenue fell 30.5% to $138.0 million, accompanied by a net loss of $239.8 million and adjusted EBITDA of negative $113.0 million. As of June 30, CleanSpark held approximately $1.02 billion in combined Bitcoin assets and cash, against long-term debt of $1.8 billion.

Chief Executive Matt Schultz described the lease as providing “long-term, durable cash flows and de-risked economic returns,” according to a CleanSpark statement. Investors will be watching closely to ensure construction remains both on schedule and within budget. The identity of the leasing tenant remains undisclosed.

At 4.53 times trailing sales, CleanSpark trades at a lower multiple than many data-center-focused mining peers, though it remains near MARA’s 5.41 multiple. The market appears to be pricing in only a partial AI-infrastructure premium.

Despite the valuation discount, Wall Street sentiment remains overwhelmingly positive. All thirteen analysts covering the stock for S&P Global maintain buy or strong-buy ratings, with a consensus price target of $23.81, implying 98.8% upside. This optimism contrasts sharply with a short interest representing 29.8% of the float.

Key risks include Bitcoin’s susceptibility to rapid reversals and potential increases in mining difficulty. The Sandersville project faces exposure to permitting delays, utility constraints, supply-chain disruptions, financing challenges, and construction risks. Additionally, the confidentiality surrounding the tenant limits external assessment of counterparty risk.

Looking ahead, this week’s price action will reveal whether Friday’s Bitcoin pullback persists. IREN’s scheduled update on August 27 will offer further clarity on AI infrastructure valuations. For CleanSpark, investors are ultimately seeking a tangible connection between the $6.6 billion contract announcement and the realization of timely, well-funded cash flows.
